Overview

Over the past three years, Schaffer Law Firm has developed a specialty niche in the alcoholic beverage industry. From the many breweries, distilleries, bars and restaurants opening throughout middle Tennessee, Schaffer Law Firm recognized a great need for advice and assistance in this rapidly growing field. In addition, the laws in the alcoholic beverage industry have changed significantly since 2013 and Schaffer Law Firm prides itself on staying at the forefront of the ever changing legal landscape of this industry.

Background

Ed Muranyi was referred to Schaffer Law Firm through his SCORE mentor. It was obvious from the moment Rachel and Ed met that they both had a deep passion for craft beer. Ed had always had an interest in the business of craft beer, and after exiting corporate America, he decided it was time to pursue his true passion. Ed brought a unique proposition to the table: he wanted to bring new brands of craft beer from all over the United States to Tennessee and grow the culture of brewers and craft beer within the state as well. He felt that the people of Tennessee were missing out on some of the great craft beers the rest of the country had to offer.

How We Helped

Ed had the foundation for a solid concept. To make his vision come to life, we identified 5 key tasks for Schaffer Law Firm to complete:

  1. Search and register trademarks for the names and phrases “Craft”, “Delivering Liquid Art” and the logo for Tennessee Craft Distributors. Ed wanted to be sure the name was available for his use before he started designing press materials to distribute to potential customers.

  3. Form Tennessee Craft Distributors into an LLC including all the necessary state filings. We walked Ed through all of the proper paperwork and tax filings to maintain and run his business.

  5. When Ed first came to see us he had found a warehouse space he felt was suitable for his needs. We reviewed the lease and offered our guidance through execution.
  6.  

  7. Ed needed to register as a distributor of low gravity beer in Rutherford county, and because he was interested in distributing high gravity beers as well, we needed to get him registered as a distributor through the TABC (Tennessee Alcoholic Beverage Commission) which included filing all the necessary paperwork with the state and TTB.

  9. Finally, Ed needed to present the breweries he hoped to sign with distribution contracts as required by state law. We helped draft those contracts to suit Ed’s unique business model.

What’s Happening Now

Ed has been approved as a distributor for beer at the state and local level as well as through the TABC. Prior to his approval he already had several well-known brands from the Midwest anxious to sign with him. We are so excited to see Ed build his business into THE craft beer distributor in middle Tennessee!
