Schaffer Law Firm recognizes that many clients often have recurring legal needs and want to have a long-term relationship with their attorney. In 2012, we developed and implemented a form of representation we like to call “outside general counsel” for clients who have ongoing legal needs. In this way, the relationship allows the client access to us as often as needed and includes a wide range of legal services for a flat, monthly fee.
We met Adam Barese through a shared common interest with our founder, Rachel: running! Mr. Barese, who is an active member of the local running group East Nasty (also one of our clients), had a growing business representing surgical distributors and needed an attorney to assist in growth prospects. Specifically, Mr. Barese was looking to acquire the United States division of Artelon, a Swedish company that manufactures several devices used by surgeons worldwide.
How We Helped
The purchase of Artelon U.S. was a complicated undertaking, so we helped by:
- Reviewing agreements between the various members and investors of International Life Sciences, LLC, the company formed to become the new United States umbrella of Artelon
- Redrafting all representative and distributor agreements
- Assessing Artelon’s pending litigation
- Reviewing the settlement agreement with U.S. Bankruptcy Court
What’s Happening Now
We were instrumental in the successful acquisition of Artelon U.S. Today, we draft all outgoing agreements between International Life Sciences, LLC d/b/a Artelon and its medical board of directors, sales representatives. distributors, potential researchers, and so forth.
